Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 10, 2019, Green Dot Corporation (the “Company” or “Green Dot”) announced that Brett Narlinger, its Chief Revenue Officer, is leaving the Company to pursue other interests, effective December 31, 2019. Seth Ross, has been promoted to the Company’s Chief of Enterprise Partnerships and will assume his new role effective immediately. Prior to his promotion, Mr. Ross served as the Company’s Senior Vice President of Business Development since September 2017. In this role, he was responsible for the business development of most of the major partners using Green Dot’s BaaS Platform.
